These Terms of Service govern your access to and use of Uppzy websites and products, including AI-powered chat and related features.

By accessing or using the service, you agree to these Terms. If you use the service on behalf of an organization, you represent and warrant that you have authority to bind that organization.

1. Eligibility and Accounts

You must provide accurate registration details and keep your account credentials secure.

You are responsible for activity under your account to the extent permitted by law.

2. AI Output Disclaimer and Document Responsibility

Uppzy provides AI-generated output that is probabilistic in nature and may be incomplete, outdated, or inaccurate.

You are solely responsible for reviewing, validating, and deciding how to use generated output and for the legality, accuracy, and rights status of documents and data you upload.

• AI output is informational and not legal, medical, financial, tax, or other professional advice.
• You must apply human review before relying on AI output for operational, legal, or compliance decisions.
• You are responsible for obtaining all rights and permissions required for the content you submit.

3. No Hallucination Liability

To the fullest extent permitted by law, Uppzy is not liable for losses caused by model hallucinations, factual errors, omitted context, or user interpretation of generated output.

4. Acceptable Use

You may not use the service in ways that are unlawful, abusive, or disruptive.

• No unauthorized access attempts, security probing, malware distribution, or denial-of-service activity.
• No infringement of third-party intellectual property or privacy rights.
• No generation or distribution of illegal, deceptive, or harmful content using the service.

5. API Usage Terms

If API access is provided, your use is subject to technical and security requirements.

• Rate limits and fair-use controls may apply and may change over time.
• You must protect API keys and credentials and must not share them publicly.
• You must not use automation for abuse, scraping, credential stuffing, or bypassing safeguards.
• We may suspend API access for detected abuse, security risk, or policy violations.

6. Subscription, Billing, and Taxes

Paid plans renew automatically unless canceled before the renewal date.

You may cancel according to the plan terms shown at purchase.

• Charges are billed in advance for the selected period.
• Refunds are not guaranteed unless required by law or explicitly stated in a written offer.
• You are responsible for applicable taxes, duties, and similar governmental charges.

7. Data Retention

We retain account and service data only as long as needed for service delivery, security, dispute resolution, and legal obligations.

8. Intellectual Property

The service, including software, branding, and design elements, is owned by Uppzy or its licensors and is protected by applicable laws.

9. Limitation of Liability

To the maximum extent permitted by law, Uppzy and its affiliates are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages.

Our total liability for all claims in aggregate is limited to the fees paid by you for the service in the twelve (12) months preceding the event giving rise to liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless Uppzy, its affiliates, officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your use of the service, your content, or your violation of these Terms or applicable law.

11. Governing Law and Venue

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Terms will be resolved exclusively in the State and federal courts located in Santa Fe County, New Mexico.

12. Updates to These Terms

We may update these Terms from time to time. Material changes will be posted with a new effective date.

Continued use after the effective date constitutes acceptance of the revised Terms.
